End User License Agreement (EULA) for EA Passer

Effective Date: 23 March, 2025

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “Licensee”) and E.A. SERVICES, INC., a California Corporation (“Licensor” or “EA Passer”) regarding the use of the EA Passer software, platform, and associated documentation (collectively, the “Software”). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

1. Grant of License

EA Passer hereby grants you a non-exclusive, non-transferable, revocable license to use the EA Passer V2.3 Expert Advisor (EA) Software and its web dashboard, solely for your personal or internal business use to connect and trade on proprietary firm evaluation accounts.

This license allows:

  • Use of the Software on unlimited prop accounts (where allowed by the firm)
  • Configuration and control through the EA Passer dashboard
  • Download of EA source code (if included in your plan)
  • Access to updates and technical support for the lifetime of the product

2. Ownership and Intellectual Property

The Software is licensed, not sold. EA Passer retains all ownership, intellectual property rights, and copyright interest in the Software and all accompanying materials. You shall not:

  • Reverse engineer, decompile, or disassemble the Software
  • Modify, reproduce, or create derivative works based on the Software
  • Sell, lease, sublicense, or distribute the Software to any third party without written permission

3. License Restrictions

You agree not to:

  • Use the Software for unauthorized purposes, including violating prop firm policies
  • Share your license credentials with others
  • Attempt to bypass licensing or security mechanisms
  • Run the Software in a way that compromises the integrity or security of third-party platforms

4. System Requirements

The Software requires:

  • A licensed MetaTrader 4 or MetaTrader 5 terminal
  • VPS or local machine with minimum specs:
    • 2 GB RAM
    • 1 vCPU
    • 15 GB SSD storage
    • Windows Server 2016 or later
    • Stable internet connection (99% uptime recommended)

5. Updates and Support

EA Passer may release updates and patches to improve performance or maintain compatibility. You will have access to all updates applicable to your license plan. Technical support is provided via email and Telegram.

6. Termination

This Agreement is effective until terminated. EA Passer may terminate your license at any time if you fail to comply with its terms. Upon termination:

  • You must delete all copies of the Software
  • Access to the dashboard and EA will be revoked
  • No refunds will be provided unless explicitly approved

7. Disclaimer of Warranty

The Software is provided “AS IS.” EA Passer makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee performance, profitability, or results on any trading platform.

8. Limitation of Liability

To the fullest extent permitted by law, EA Passer shall not be liable for any loss of profits, business interruption, account failure, or other commercial damages arising from the use or inability to use the Software.

9. Compliance with Prop Firms

It is the User’s responsibility to ensure that the use of EA Passer does not violate the terms and rules of any proprietary trading firm. EA Passer is not responsible for any bans, disqualifications, or forfeited payouts resulting from misuse.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in Fresno County, California.
